Any dispute, controversy, or claim arising out of or relating to this Agreement or the Website will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules then in effect, subject to the modifications in this Agreement. The arbitration will take place in the State of Michigan or remotely by video conference, at the arbitrator’s discretion.

The arbitrator has exclusive authority to resolve disputes relating to the interpretation, applicability, enforceability, or formation of this Agreement. Judgment on the arbitrator’s award may be entered in any court of competent jurisdiction. Each party will bear its own attorneys’ fees and costs and share equally the arbitrator’s fees and administrative costs, unless the arbitrator decides otherwise.

YOU AGREE TO ARBITRATE ON AN INDIVIDUAL BASIS. YOU WAIVE THE RIGHT TO A TRIAL BY JURY AND TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

12. Additional Arbitration Provision

At our sole option, we may require that any dispute arising from or related to this Agreement or your use of the Website be submitted to binding arbitration under the rules of the American Arbitration Association applying Michigan law, in addition to or in lieu of other available procedures as permitted by law.

13. Limitation on Time to File Claims

ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE WEBSITE MUST BE FILED WITHIN ONE (1) YEAR AFTER THE CLAIM ACCRUES OR IT IS PERMANENTLY BARRED, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

15. Entire Agreement
